This license agreement is between drolx Lab, a logistics and transportation CRM software as a service project (the “Licensor”), and the person or entity who receives a copy of the software (the “Licensee”). The Licensee agrees to be bound by the terms of this license by installing, copying, or using the software.
1. Definitions
“Software” means drolx Lab’s software and all its components, documentation, and examples included by drolx Lab.
“Modified Version” means the Software as modified by the Licensee, including, but not limited to, changes in the source code, functionality, output, and/or documentation, or any portion thereof.
“Original License” means this license as given by drolx Lab, in its current version or as it may be modified by drolx Lab from time to time.
“Source Code” means the human-readable form of the Software and related documentation that can be used to modify the Software.
“Change Date” means the date four years from the date of the initial distribution of the Software by drolx Lab.
2. Grant of License
Subject to the terms and conditions of this license, drolx Lab grants the Licensee a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the Software or its Modified Version, in any form, for any purpose, except as prohibited under Section 3.
3. Restrictions
The license granted in Section 2 is subject to the following restrictions:
The Licensee shall not use the Software or its Modified Version to offer a competing service that uses the Software. The Licensee shall publish the Source Code of the Modified Version under the Reciprocal Public License 1.5 (the “RPL”), available at 1, and make it available to anyone who receives a copy of the Modified Version. The Licensee shall include a copy of the Original License and this license along with the Software or its Modified Version.
4. Termination
This license will terminate automatically if the Licensee fails to comply with any of the terms and conditions of this license. Upon termination, the Licensee shall cease all use of the Software or its Modified Version and destroy all copies thereof.
5. Conversion
This license will automatically convert to the RPL on the Change Date, unless drolx Lab has released a new version of the Software under a different license before that date. Upon conversion, the Licensee shall comply with the terms and conditions of the RPL for any further use of the Software or its Modified Version.
6. Disclaimer of Warranty
The Software is provided “AS IS”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. In no event shall drolx Lab be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Software or the use or other dealings in the Software.
7. Limitation of Liability
In no event shall drolx Lab be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of the Software or its Modified Version, even if advised of the possibility of such damage.
8. General
This license is governed by the laws of the jurisdiction specified by drolx Lab, without regard to the conflicts of law rules thereof. Any dispute arising out of or relating to this license shall be subject to the exclusive jurisdiction of the courts of that jurisdiction. This license constitutes the entire agreement between the parties with respect to the subject matter hereof. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the parties with respect to the Software. If any provision of this license is held to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties, and the remainder of this license shall continue in full force and effect. drolx Lab may assign or transfer this license at any time without the consent of the Licensee. The Licensee may not assign or transfer this license without the prior written consent of drolx Lab. Any attempt to do so shall be null and void. drolx Lab reserves the right to change the terms and conditions of this license at any time by posting a new version of the license on its website. The Licensee is responsible for checking the website for updates. The Licensee’s continued use of the Software or its Modified Version after such changes shall constitute the Licensee’s acceptance of the new license.
